- JSF Production: Located in Almere, registered with the Netherlands Chamber of Commerce (Kamer van Koophandel).
- Customer: The commercial party (B2B) entering into an agreement with JSF Production or to whom JSF Production has issued an offer.
- These terms and conditions apply to all offers, quotations, deliveries, and agreements made by or with JSF Production.
- The applicability of any purchase or other terms and conditions used by the Customer is expressly rejected.
Article 2 – Offers and Formation of the Agreement
- All offers and price quotations issued by JSF Production are subject to contract and non-binding unless expressly stated otherwise in writing.
- An agreement is only established following a written order confirmation by JSF Production, or as soon as JSF Production commences the execution of the order.
- Specifications, dimensions, and weights stated on the website or in catalogs serve as an indication only. Minor deviations within standard industry tolerances do not entitle the Customer to complaints, price reductions, or dissolution of the agreement.
Article 3 – Custom-Made Products, Modifications, and Cancellations
- Products specifically manufactured, tailored, or fabricated to the Customer’s specifications (including, but not limited to: custom wedge wire, custom-tailored filter cloths, and re-screened sieve frames) cannot be canceled, returned, or modified once production has commenced.
- If the Customer cancels a non-customized order, the Customer is required to reimburse JSF Production for all costs already incurred (including transport costs and reserved materials).
Article 4 – Delivery and Lead Times
- Unless agreed otherwise in writing, delivery is carried out Ex Works (EXW) warehouse Almere.
- Stated delivery times and urgent delivery indications are always indicative and shall never constitute a strict deadline. Exceeding a delivery time does not entitle the Customer to compensation, penalties, or dissolution of the agreement.
- JSF Production is entitled to deliver and invoice an order in partial shipments.
Article 5 – Prices and Payment
- All prices are stated in Euros (€), exclusive of VAT, shipping costs, packaging, and any government levies, unless stated otherwise in writing.
- Payment must be made within 30 days of the invoice date, without any deduction, discount, or set-off, unless explicitly agreed otherwise in writing.
- If the payment term is exceeded, the Customer is automatically in default and shall owe the statutory commercial interest rate plus extrajudicial collection costs.
Article 6 – Retention of Title
- All delivered products and components (such as filter housings, wire mesh, and spare parts) remain the unconditional property of JSF Production until the Customer has fully settled all outstanding invoices, including any interest and costs.
- The Customer is not permitted to pledge, sell, or transfer ownership of the products subject to retention of title to third parties.
Article 7 – Inspection, Complaints, and Warranty
- The Customer is obliged to inspect the delivered products immediately upon receipt for any visible defects, damages, or shortages.
- Complaints regarding visible defects must be submitted to JSF Production in writing, with justification, within 5 working days following delivery. After this period, any right to repair, replacement, or compensation expires.
- Any warranty on delivered components is strictly limited to the warranty provided to JSF Production by the respective manufacturer or supplier. Regular wear and tear due to intensive industrial use (wear parts) is excluded from any warranty.
Article 8 – Liability and Consequential Loss
- The total liability of JSF Production due to an attributable breach in the performance of the agreement is at all times limited to the repair of the product, replacement of the product, or a refund up to a maximum of the invoice value of the specifically delivered (defective) component.
- JSF Production shall never be liable for any indirect damages, consequential loss, business interruption, loss of production, downtime costs, loss of profits, or loss of savings incurred by the Customer or third parties, regardless of the cause.
- The Customer shall indemnify and hold harmless JSF Production against all claims from third parties regarding product liability resulting from a defect in an installation or system in which the components delivered by JSF Production have been integrated.
Article 9 – Force Majeure
- JSF Production is not required to fulfill any obligation if it is prevented from doing so as a result of force majeure.
- Force majeure shall in any case include: delayed or failed deliveries by suppliers, transport disruptions, strikes, government restrictions, fire, machinery breakdown, and grid or energy failures.
Article 10 – Applicable Law and Jurisdiction
- All legal relationships to which JSF Production is a party shall be governed exclusively by Dutch law. The applicability of the United Nations Convention on Contracts for the International Sale of Goods (Vienna Sales Convention / CISG) is expressly excluded.
- Any disputes arising from or relating to agreements between JSF Production and the Customer shall, in the first instance, be submitted exclusively to the competent court in the judicial district where JSF Production has its registered place of business.
